1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Reputify, a customer intelligence platform operated by Joyful Designs ("we", "us", or "our"). By creating an account, accessing, or using Reputify, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the service.

2. Description of Service

Reputify is a Software-as-a-Service (SaaS) platform that helps businesses aggregate, analyze, and act on customer feedback and reviews across multiple platforms. Our service includes, but is not limited to:

• Review aggregation: Centralized inbox for customer reviews from Google Business Profile (with additional platforms added over time)
• Analytics & insights: Sentiment analysis, rating trends, keyword tracking, and performance dashboards
• AI-powered features: Response suggestions, auto-categorization, and intelligent insights (where available in your plan)
• Multi-location management: Manage multiple business locations in one workspace
• Team collaboration: Multi-user accounts with role-based access (Owner, Manager, Member) on applicable plans
• Notifications & alerts: Email and in-app alerts for new reviews, low ratings, and priority events
• Integrations: Connections with third-party platforms (including Google Business Profile, and optional channels such as WhatsApp Business where available) subject to their respective terms and API availability

We reserve the right to modify, suspend, or discontinue any feature at any time. Feature availability may vary by subscription tier.

3. Use License

Subject to your compliance with these Terms and your subscription plan, we grant you a limited, non-exclusive, non-transferable license to access and use Reputify for your business purposes. Under this license you may not:

• Resell, sublicense, or redistribute the service or any part of it
• Reverse engineer, decompile, or attempt to extract the source code of our software
• Use the service to build a competing product or service
• Circumvent or disable any security, access control, or usage limits
• Use automated means (scraping, bots) to access the service without our written consent
• Remove or alter any copyright, trademark, or proprietary notices

4. User Accounts and Responsibilities

You must provide accurate, complete, and current information when creating an account. You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Ensuring your use of the service complies with applicable laws and third-party platform terms (e.g., Google Business Profile)
• Obtaining necessary consents from your team members when adding them to your workspace
• Obtaining and documenting lawful consent (or another valid legal basis) from your customers before sending review requests or other messages through Reputify (see Section 7)

You must notify us immediately of any unauthorized access to your account.

5. Subscription, Billing, and Plans

Reputify offers tiered subscription plans—Starter, Growth, and Enterprise Intelligence (Scale)—with different feature sets, location limits, and user limits. Marketing materials may refer to “Enterprise Intelligence” and “Scale” interchangeably for the same tier. By subscribing, you agree to:

• Pay the fees associated with your chosen plan on a recurring basis (monthly or annually)
• Provide valid payment information and keep it updated
• Accept that prices and plan features may change with reasonable notice
• Understand that downgrades or cancellations may take effect at the end of the current billing period

Free trials, if offered, are subject to the terms communicated at signup. We may suspend or terminate service for non-payment.

Optional one-time implementation packages (Guided Launch) are billed separately from subscription fees and are governed by our Professional Services Terms, which supplement these Terms for your Reputify subscription. See also the Guided Launch page.

Customer support (Reputify Assist): Included product support for Platform subscribers is described in our Reputify Assist Platform Support Policy (available in Reputify Assist and as REPUTIFY_ASSIST_SUPPORT_POLICY.pdf in commercial materials). Response times vary by plan tier (Starter, Growth, Scale) and issue severity; stated targets are goals, not warranties, unless a separate written agreement says otherwise. Managed services such as Reputify Presence are governed by our Presence Service Terms and the applicable service agreement.

6. Third-Party Integrations and Data

Reputify integrates with third-party platforms, including Google Business Profile and, where you enable them, messaging channels such as WhatsApp Business. Additional platforms may be added over time. Your use of these integrations is subject to:

• The respective terms of service and API policies of each platform
• Your responsibility to maintain valid authorizations and API access
• Our right to discontinue or modify integrations due to API changes, policy violations, or business decisions

You retain ownership of your business data. By using Reputify, you grant us a license to process, store, and display your data as necessary to provide the service. See our Privacy Policy for details.

7. Customer Review Requests and Messaging

Reputify lets you send review requests and related messages to your customers by email, WhatsApp, and other channels you enable. You are the data controller for your customers' contact details and messaging decisions. Reputify acts as a processor on your instructions when sending on your behalf. See our Privacy Policy, Messaging Data Processing Addendum (DPA), and end-customer privacy notice template for how we handle that data and sample wording for your customers.

Before you send any review request or customer message through Reputify, you represent and warrant that you:

• Have a lawful basis to contact each recipient (including valid consent or another permitted basis under applicable law, such as the Digital Personal Data Protection Act, 2023 (India) where it applies)
• Have not obtained contact details in a way that violates anti-spam, telecom, or platform rules
• Will send only transactional or service-related review requests in line with Meta/WhatsApp template policies and applicable email rules—not unsolicited marketing unless separately permitted by law and platform policy
• Will honour opt-outs promptly, including recipients on your Reputify opt-out list and customers who reply STOP (or equivalent) on WhatsApp or unsubscribe from email
• Will not upload or use contact lists you do not have permission to use

Reputify provides tools (opt-out lists, send-time checks, and related features) to help you comply, but you remain solely responsible for lawful consent, message content you approve, and compliance with third-party platform terms (Google, Meta/WhatsApp, email providers).

We may suspend or limit messaging features if we reasonably believe you are sending without lawful basis, ignoring opt-outs, or violating platform or applicable law.

8. AI-Generated Content

Where Reputify provides AI-powered features (e.g., response suggestions, insights), such content is generated for assistance only. You are responsible for reviewing, editing, and approving any AI-generated content before publishing or using it. We do not guarantee the accuracy, appropriateness, or legal compliance of AI-generated output.

9. Prohibited Uses

You may not use Reputify:

• In violation of any applicable law, regulation, or third-party rights
• To send review requests or customer messages without lawful consent or in violation of opt-out or unsubscribe requests
• To transmit malware, spam, or harmful content
• To impersonate another person, business, or entity
• To manipulate reviews, ratings, or feedback in a fraudulent manner
• To harass, abuse, or harm others
• In any way that could impair, overload, or disrupt the service or our infrastructure

10. Intellectual Property

Reputify, its software, design, branding, and documentation are owned by Joyful Designs and protected by intellectual property laws. You do not acquire any ownership rights by using the service. Our trademarks and logos may not be used without our prior written consent.

11. Termination

You may cancel your account at any time through your account settings or by contacting us. We may suspend or terminate your account immediately, without prior notice, for:

• Violation of these Terms
• Non-payment of fees
• Conduct harmful to other users, us, or third parties
• Extended periods of inactivity (as defined in our policies)

Upon termination, your right to use the service ceases. We may retain your data for a limited period as required by law or our data retention policy. You may request export of your data before termination where feasible.

12. Limitation of Liability

To the maximum extent permitted by law, Reputify and Joyful Designs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use or inability to use the service. Our total liability for any claims arising from these Terms or the service shall not exceed the fees you paid to us in the twelve (12) months preceding the claim.

The service is provided "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

13. Indemnification

You agree to indemnify and hold harmless Joyful Designs, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last updated” date at the top of this page. Your continued use of the service after such changes constitutes acceptance of the revised Terms where permitted by law. If you do not agree, you must stop using the service and may cancel your account.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to applicable law, courts located in Bengaluru, Karnataka, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the service, unless another venue is required by mandatory law.
