Professional Services Terms

1. Introduction
These Professional Services Terms ("PS Terms") govern optional one-time implementation services offered by Joyful Designs ("we", "us", or "our") under the name Guided Launch for the Reputify platform. They apply in addition to our Terms of Service, which continue to govern your Reputify subscription and use of the SaaS product.
By paying for Guided Launch or confirming an order in writing (including email), you agree to these PS Terms and the applicable scope document for your package (see Section 2). If there is a conflict between these PS Terms and the scope document on implementation details, the scope document prevails for scope and deliverables; these PS Terms prevail for legal terms.
2. Scope of services
Guided Launch is a one-time professional services package to help you configure Reputify (e.g. Google Business Profile connection, review sync, campaigns, alerts, and training). Packages align to subscription tiers—Starter, Growth, and Scale Guided Launch.
The specific deliverables, location limits, campaign counts, training sessions, and support window for your order are defined in:
- The published scope document (currently version 1.1) at Guided Launch scope (PDF)
- Your discovery call confirmation and order email from Reputify
- Optional add-ons quoted separately in writing
Guided Launch does not include ongoing reputation management, review responses on your behalf, paid advertising, ORM, on-site visits, or unlimited support beyond the included hours and launch window.
3. Ordering and payment
Guided Launch is optional and billed separately from your Reputify subscription. Unless otherwise agreed in writing:
- We confirm your package and price after a discovery call
- Payment is collected via a one-time Razorpay payment link (or other method we specify)
- Razorpay (or our payment partner) issues the tax invoice for your jurisdiction (e.g. GST-compliant invoice for INR)
- Implementation begins only after payment is received and kickoff is scheduled
Prices quoted on our website and scope documents are exclusive of applicable taxes unless stated otherwise. Subscription fees for Reputify SaaS remain governed by the Terms of Service and your billing plan.
4. Launch window and included hours
Unless your order states otherwise:
- The launch window is 60 calendar days from your kickoff date
- Included support hours cover all implementation activities during that window—including live training, campaign configuration, calls, and async setup work
- For INR orders, included hours are capped per tier (e.g. 5 / 8 / 12 hours as published for Starter / Growth / Scale)
- For USD orders, included hours and session scheduling are upon request, as agreed at discovery
- Unused hours do not roll over after the launch window or sign-off
- Support is provided remotely during published business hours (IST) unless otherwise agreed for USD customers
5. Your responsibilities
You agree to:
- Provide timely access to Google, Meta, and Reputify accounts needed for setup
- Supply accurate business information, logos, and location details
- Designate a point of contact available during agreed support times
- Review and approve configurations, templates, and test sends before go-live where applicable
- Comply with third-party platform terms (Google, Meta/WhatsApp, etc.)
Delays caused by missing access, incomplete information, or unavailability may consume included hours or extend the timeline without additional included hours.
6. Refunds and cancellation
Unless required by applicable law or explicitly agreed in writing:
- Before kickoff: You may cancel for a full refund of Guided Launch fees if you notify us before the scheduled kickoff date and no substantial preparatory work has begun
- After kickoff: Guided Launch fees are non-refundable once kickoff has occurred or we have begun substantial implementation work
- Subscription: Cancelling Guided Launch does not cancel your Reputify subscription; subscription refunds follow the Terms of Service
7. Third-party platforms
Guided Launch may involve Google Business Profile, Meta/WhatsApp, and other third-party services. We do not control those platforms and do not guarantee:
- Verification or approval timelines (GBP verification, WhatsApp template approval, etc.)
- Continued API availability or policy compliance outcomes
- Specific review volumes, ratings, or business results
We provide guidance and configuration assistance; platform decisions remain with the third party.
8. Limitation of liability
To the maximum extent permitted by law, our total liability for claims arising from Guided Launch professional services shall not exceed the Guided Launch fees you paid for the applicable order. Professional services fees and subscription fees you paid to us in the twelve (12) months preceding a claim may be aggregated for the overall liability cap stated in our Terms of Service, whichever calculation yields the higher permitted recovery for you under applicable law.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from professional services.
9. Changes
We may update these PS Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Orders accepted before a change continue under the PS Terms in effect at acceptance, unless we agree otherwise in writing.
10. Governing law
These PS Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to applicable law, courts located in Bengaluru, Karnataka, India shall have exclusive jurisdiction over disputes arising from Guided Launch professional services, unless another venue is required by mandatory law.
