Presence Service Terms

Introduction

These Presence Service Terms govern optional recurring managed Google Business Profile (GBP) services offered by Joyful Designs ("we", "us", or "our") under the name Reputify Presence. They apply in addition to our Terms of Service and Privacy Policy where you also use the Reputify Platform.

By accepting a Presence order (signed PDF, email acceptance, or payment of launch-month fees), you agree to these terms and your completed Order Form (Schedule 1). Deliverables for your tier are described in the full Service Agreement (PDF) and related scope documents shared at signup.

1. Services

We will deliver Reputify Presence — managed GBP optimization and related reputation support as described in your Order Form and tier scope summary. Services are professional managed services, not a software subscription by themselves. Where your order includes Reputify Platform (Starter, Growth, or Scale), that software remains governed by the Terms of Service.

We are not Google and act only with manager (or equivalent) access you grant to your GBP listing(s).

2. Launch month and ongoing management

Launch month (Month 1) is a one-time foundation period including, at minimum: GBP audit and initial optimization, spam/duplicate listing check, baseline insights report, verification of GBP manager access, and Reputify workspace setup or linkage where Platform is included.

Ongoing management (Month 2+) includes recurring monthly deliverables per your selected tier (monitoring, reports, posts, review support, etc.). Launch month work begins on the Kickoff date after acceptance and receipt of launch month payment unless otherwise agreed.

3. Scope limits

Unless explicitly added in writing, services do not include Google Ads, website SEO, organic social media management, fake or incentivized reviews, guaranteed rankings or revenue, 24×7 emergency support, legal representation in platform disputes, or on-site photography (you supply assets unless an add-on is agreed).

We use reasonable skill and care but do not guarantee specific search visibility, leads, or business outcomes.

4. Your responsibilities

You will:

• Retain ownership of all GBP listings and grant us manager access only
• Provide accurate business information, brand assets, and timely approvals
• Designate a primary contact for posts, sensitive review replies, and profile changes
• Respond to approval requests within 5 business days (or an alternate SLA agreed in writing)
• Comply with Google Business Profile policies and applicable law
• Maintain any required Reputify Platform subscription per your order

Delays caused by missing access, incomplete information, or late approvals may shift deliverables without fee reduction.

5. Approvals and content

We submit Google Posts, profile changes, and sensitive review replies for your approval before publishing, unless your order states otherwise for routine items. If you do not respond within 5 business days, we may publish non-sensitive items as proposed or defer to the next cycle; sensitive items will not be published without approval.

You warrant that materials you supply do not infringe third-party rights and comply with Google and applicable advertising standards.

6. Fees, taxes, and payment

• Fees are set out in your Order Form (amounts exclusive of applicable tax unless stated otherwise)
• Launch month fee is due before kickoff unless we agree otherwise; launch month fees are non-refundable once substantial work has begun
• Monthly management fees are due per your billing cycle (default: monthly in advance from Month 2)
• Payment via Razorpay link, bank transfer, or other method on the invoice
• Late amounts may lead to suspension after 15 days written notice

7. Term, renewal, and cancellation

• Initial term: typically 3 months from Kickoff (launch month counts as month one unless stated otherwise)
• After the initial term, services renew month-to-month unless either party gives notice of non-renewal
• Cancellation after initial term: either party may terminate with 30 days written notice; fees for the notice period remain due
• Early termination during initial term: you may remain liable for monthly fees through the end of the initial term unless we agree an exit fee in writing
• We may terminate for material breach (non-payment, revoked access, unlawful use) after notice to cure where possible
• On termination, we cease scheduled GBP work; you retain GBP ownership; we revoke delegated access within 10 business days upon request

8. Confidentiality and data

Each party protects the other’s non-public business information with reasonable care. Personal data is handled per our Privacy Policy. Where you use review-request messaging, our Messaging DPA may apply to end-customer data processed through Reputify.

9. Limitation of liability

To the maximum extent permitted by law, our total liability for claims arising from Presence services shall not exceed the fees paid by you under this agreement in the three (3) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from services or third-party platform actions (including Google suspensions or API outages).

10. Indemnity

You will indemnify us against third-party claims arising from content or instructions you provide, your breach of Google or platform policies, or unlawful use of services — except to the extent caused by our gross negligence or wilful misconduct.

11. General

• Entire agreement: These terms, your Order Form, and tier scope summary supersede prior oral understandings for Reputify Presence
• Amendments: Must be in writing and signed or emailed by both parties
• Assignment: You may not assign without our consent; we may use qualified subcontractors under equivalent confidentiality obligations
• Force majeure: Neither party is liable for delay due to events beyond reasonable control
• Governing law: Laws of India; courts in Bengaluru, Karnataka have exclusive jurisdiction, subject to mandatory law
